These Terms govern your use of the DirectProp platform operated by DIRECTPROP PTE. LTD. (UEN 202634762K) ("DirectProp"). By creating an account or using the platform you agree to these Terms.
DirectProp is a marketplace and toolset that enables property owners to list residential property and transact directly with tenants and buyers, including listing publication, enquiry messaging, viewing scheduling and digitally executed tenancy agreements. DirectProp is not an estate agent, does not perform estate agency work, does not represent either party in any transaction, and does not provide legal, financial or tax advice. Standard-form documents made available on the platform are templates; you are responsible for ensuring they suit your circumstances and are encouraged to seek independent legal advice.
You must be at least 18 years old and capable of entering binding contracts. You are responsible for the accuracy of your account information and the security of your credentials, and for all activity under your account. One account per person; accounts are not transferable.
You may only list property that you own or are duly authorised to let or sell, and you warrant that all listing content is accurate, current and lawful. You grant DirectProp a non-exclusive licence to host, display and promote your listing content on and in connection with the platform. Prohibited: misleading or fraudulent listings; listings that violate occupancy, short-term accommodation or other laws; discriminatory content in breach of applicable guidelines; content infringing third-party rights. We may moderate, unpublish or remove content, and suspend or terminate accounts, for breach of these Terms, suspected fraud, or legal risk, with notice where practicable.
Tenancy agreements, viewings and all dealings concluded through the platform are contracts between the users concerned. DirectProp is not a party to them (save where expressly stated), does not guarantee the performance, identity, solvency or conduct of any user, and does not hold deposits or rent. Identity-verification features (where offered) reduce but do not eliminate risk, and you remain responsible for your own due diligence.
Where you execute a tenancy agreement electronically on the platform, you agree that your electronic signature, together with the platform's recorded metadata (signer identity, timestamp, IP address and document hash), is intended to authenticate the document and give it binding effect under the Electronic Transactions Act 2010. You are responsible for e-stamping obligations with IRAS; platform reminders about stamp duty are informational only.
Standard listings are currently free. Optional paid services โ such as premium listing placement and, when introduced, agreement execution fees โ are described at the point of purchase. Fees are not currently subject to GST (DirectProp is not GST-registered), and except as required by law are non-refundable once the service is delivered. We may change fees prospectively with notice.
You must not: misuse the messaging system (spam, harassment, phishing); scrape or bulk-extract platform data; circumvent security or access controls; upload malicious code; use the platform to collect other users' personal data beyond what a transaction requires; or misrepresent your identity. We may rate-limit, filter or suspend features to protect the platform and its users.
Personal data is handled in accordance with our Privacy Policy, which forms part of these Terms. In particular, NRIC/FIN numbers are collected only for tenancy agreement execution and are stored encrypted and displayed masked.
The platform, its software, design and branding are owned by DirectProp or its licensors. Except for your own content, no rights are granted to you other than the limited right to use the platform in accordance with these Terms.
The platform is provided "as is" and "as available". To the maximum extent permitted by law, DirectProp excludes all implied warranties and is not liable for: the acts or omissions of users; loss arising from transactions between users; loss of profits, data or goodwill; or indirect or consequential loss. Where liability cannot be excluded, DirectProp's aggregate liability is capped at the higher of (a) fees paid by you to DirectProp in the 12 months preceding the claim and (b) S$100. Nothing in these Terms excludes liability for fraud or for death or personal injury caused by negligence.
You indemnify DirectProp against claims arising from your content, your listings, your breach of these Terms, or your dealings with other users, except to the extent caused by DirectProp's own breach or negligence.
You may close your account at any time; executed agreements and records we are required to retain will be kept per the Privacy Policy. We may suspend or terminate accounts for material breach, fraud risk or legal requirement. Clauses intended to survive termination (including 4, 8โ11 and 13) survive.
These Terms are governed by Singapore law; the parties submit to the exclusive jurisdiction of the Singapore courts. If any provision is unenforceable, the remainder continues in effect. We may update these Terms; material changes take effect 14 days after notice, and continued use constitutes acceptance. A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 2001. These Terms and the Privacy Policy are the entire agreement between you and DirectProp regarding the platform.
